This position will be responsible for directing contracting activities and professionals including highly complex contractual arrangements of strategic importance to the corporation. The ideal candidate will direct the identification, development, and implementation of the entire range of contract formation, negotiation and administration of policies and processes per customer expectations and corporate objectives. They will also be responsible for identifying company risk, including those related to the contracting process and recommending appropriate risk mitigation strategies. Responsibilities Duties and Responsibilities include the following Provides legal advice and counsel to ERP on all matters Guides claim avoidance, disputes, and other complex or controversial contractual matters and related risk managementmitigation matters. Provides negotiation support Provides training as it relates to contract performance for project managers, account executives and senior leaders Focuses on improving organizational performance by facilitating commercial best practices and business arrangements, mitigating business risk Provides strategic thought leadership to develop innovative contracting solutions which will result in achieving company business objectives. Identifies current and anticipates future problems and determines appropriate solutions or preventive measures Recommends changes and additions to the contract strategy or structure to reflect company and client requirements and alignment with company program and risk mitigation objectives. Interacts with professional and commercial general liability insurance carriers as it may relate to insurance coverage and contracts and risk management Prepare responses to US Government inquiries on the firmrsquos execution of awarded contracts. Review and advise on documents prepared by clients, such as statements of work, service level agreements, pricing schedules, and customer obligations Review and analyze RFPsRFQsRFIs negotiate customer contracts reviewing, drafting and negotiating various types of agreements, including non-disclosure agreements, teaming agreements, and product andor service agreements extensive experience relating to submission and negotiation of contracts, subcontracts, task orders andor modifications Advise clients on various contractual provisions and issues and develop resolutions to business disputes Evaluate proposals to ensure contract requirements are adequately defined and documented Administration of Contract functions to include contract awards, modifications, notices, etc. Monitor contract compliance and correspondence, including records retention and maintenance Maintain files and adequate records retention for all government contracts held by the company Ensure organization compliance with FAR, DFAR, CAS, DCMA, and small business regulations Recommends and implements contract administration best practices, policies and contracts workflow processes Draftsreviewsapproves Contractual provisions that address business, financial and legal risks, including statements of work, schedule, compensation, changes, termination provisions, indemnification and all other potential areas of risk Subcontract, teaming, joint venture, nondisclosure, real estate, staffing, and special event agreements Contract modifications and task orders. Identifiesanalyzesinterprets contracting issues, laws, regulations, policies, procedures, complex written materials and furnishes expert advicerecommendations in the development of corporate decisions and policies Other duties as assigned Qualifications Education and Experience Required Juris Doctorate required from an ABA-accredited law school. In good standing with State bar, a license must be current and remain current during employment term. Minimum 10 + years of contracts management experience andor providing legal counsel to the government consulting industry In-depth knowledge of FARDFARS, GSA Federal Schedules, Federal IDIQ GWAC contracts Ability to identify contract risks, draft contractual requirements andor negotiate alternate terms and conditions, negotiate teaming agreements andor non-disclosure agreements as well as coordinate appropriate review per corporate policy and procedures Previous management andor operational experience Ability to communicate clearly and effectively with employees, customers, suppliers, and senior management. Ability to effectively work with outside counsel andor other consultants or firms to accomplish objectives Proficient at negotiation, time management, decision making, human relations, and organization skills Demonstrated proficiency with Microsoft Word, Excel, and Adobe including editing functions and MS SharePoint Strong analytical and mathematical skills planning and organizational skills
